The name “KioPixel,” logo, product names, and branding elements are trademarks or registered trademarks of KioPixel. Unauthorized use is strictly prohibited.

Any content uploaded by users remains the property of the user. However, by uploading content, users grant KioPixel a limited license to use, store, and process such content solely for the purpose of providing the service.

Any feedback, suggestions, or ideas submitted to KioPixel may be used without restriction or compensation to the user.

Unauthorized use of KioPixel’s intellectual property may result in termination of access and legal action.

Confidential Information includes any non-public information disclosed by either party, including but not limited to business plans, technical data, software architecture, source code, pricing, customer data, financial information, and proprietary processes.

Both KioPixel and the user agree to maintain the confidentiality of all Confidential Information and to use such information solely for the purpose of accessing and providing the SaaS services.

Confidential Information shall not be disclosed to any third party without prior written consent, except to employees, contractors, or service providers who require access for service-related purposes and are bound by confidentiality obligations.

Each party agrees to take reasonable security measures to protect Confidential Information from unauthorized access, disclosure, or misuse.

Confidential Information does not include information that: Is publicly available without breach of this agreement Was already lawfully known before disclosure Is independently developed without reference to the Confidential Information Is required to be disclosed by law or court order

If disclosure is required by law, the receiving party shall provide prompt notice (where legally permitted) to allow the disclosing party to seek protective measures.

KioPixel shall not access, use, or disclose customer data except as necessary to provide the services, comply with legal obligations, or with user authorization.

Confidentiality obligations shall continue during the term of service and for a period of [2–5 years] after termination, or as required by applicable law.

Any unauthorized disclosure or misuse of Confidential Information may result in termination of services and legal remedies.

Limitation of Liability

kiopixel is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

Our liability, if any, shall not exceed the total fees paid by the client for the specific service.

Some services may involve third-party platforms (e.g., hosting, advertising, payment gateways). kiopixel is not responsible for downtime, errors, or losses caused by third-party providers.

Termination

Either party may terminate the service agreement with written notice.

kiopixel reserves the right to terminate services in case of non-payment, misuse, or violation of these terms.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India
